Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Xeasy website and commerce management platform (the "Service") provided by XEASY DROPSHIPPING INC ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Accounts and Eligibility
You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service.
2. Store Connections and Authorization
- You are responsible for the decision to connect a marketplace store and for the authorizations you grant to the Service.
- The Service accesses marketplace data only within the scope of the authorization you grant and the permissions approved for the application by the relevant marketplace platform.
- You must comply with the terms, policies, and developer requirements of the marketplaces you connect, including TEMU's seller and open platform agreements.
- You may disconnect a store at any time; doing so stops future synchronization of that store's data.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any marketplace's terms;
- Access data of another seller or organization without authorization, or attempt to circumvent access controls or data isolation;
- Interfere with or disrupt the Service, or probe, scan, or test its vulnerability without permission;
- Reverse engineer the Service except as permitted by applicable law;
- Resell or redistribute Service access or marketplace data obtained through the Service except as expressly permitted;
- Use the Service to transmit malware or content that infringes the rights of others.
4. Third-Party Platforms
The Service integrates with third-party marketplaces through their official open platform APIs. Your use of those marketplaces remains subject to their terms. We do not control third-party platforms and are not liable for their availability, actions, omissions, or changes to their APIs, permissions, or policies. Xeasy is an independent software provider and is not affiliated with or endorsed by TEMU.
5. Service Availability and Changes
We strive to keep the Service available and may add, change, or remove features over time. Certain capabilities, such as marketplace integrations, depend on third-party platform approvals and may be offered as preliminary or limited releases. We may suspend the Service for maintenance or to address security or legal issues.
6. Fees
Current features of the Service are provided without charge during the introductory period. If we introduce fees, we will present the applicable pricing before charging you, and these Terms will be updated accordingly. Unless stated otherwise, fees are non-refundable.
7. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your account if you materially breach these Terms, if required by law, or if a marketplace withdraws permissions necessary to provide the Service. Upon termination, the provisions of these Terms that by their nature should survive will remain in effect.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, XEASY DROPSHIPPING INC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100) IF YOU HAVE NOT PAID ANY FEES.
10. Indemnification
You agree to indemnify and hold harmless XEASY DROPSHIPPING INC and its affiliates, officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your marketplace data, or your violation of these Terms or applicable law.
11. Governing Law
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles. The state or federal courts located in Texas, USA will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
12. Changes to These Terms
We may modify these Terms from time to time. If changes are material, we will provide reasonable notice through the Service or by email before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
